We have invested Rexnord resources to create and maintain a site that allows you to view and purchase products, and track shipments. By registering on this site and ordering products from it, you will be agreeing to the following terms and conditions of sale. If you do not wish to accept these then you must contact Rexnord directly.

GENERAL: The following terms and conditions of sale shall be the only terms applicable to any contract for sale between seller and Buyer. Any terms and conditions in any of Buyer’s other documents that vary with, are inconsistent or add to these terms are not acceptable and not binding upon Seller without express written consent even though there may have been acknowledgment, work has commenced or the order has shipped. This contract may only be amended in a writing signed by both parties and is the total agreement of the parties and all proposals, negotiations, representations, recommendations, statements or agreement made or entered into prior to or concurrent to this contract are excluded.

ACCEPTANCE AND PRICES: Quotations are valid for thirty (30) days unless extended by Rexnord. Prices quoted will be firm for orders accepted at the factory where material is scheduled by us for shipment within sixty (60) days after the date of quotation; otherwise, we reserve the right to apply prices in effect at the time of shipment. Terms of payment, discounts, or minimum charges applicable to quotations are contained in appropriate price book or quotations. Prices do not include sales, use, excise, or other similar taxes, and all such taxes shall be paid by Purchaser. Additional charges may be made to cover any unforeseen or unusual cost elements that may have not been contemplated including without limitation, overtime work authorized by Purchaser, and special packing, engineering, and documentation. All orders are subject to acceptance by Rexnord at the factory and credit approval. Total prices on invoices may differ slightly as price records for electronic calculation may be either on a list and discount basis or a net basis.

SHIPMENT: All shipments are F.O.B. Rexnord shipping point. Rexnord is not responsible for the contract terms of shipment or damage to or loss of product after delivery to the transportation company. If the Purchaser should have a claim against the transportation company, we will cooperate in attempting to secure an adjustment when so requested.

DELIVERY: Delivery dates are approximate, not guaranteed; and are subject to prior sale of the goods ordered. Goods are deemed delivered (Delivery date) on the day the shipment is made available to the carrier.

FORCE MAJEURE. Rexnord will not be liable for delays in delivery for any cause beyond its reasonable control; including without limitation: delays in delivery by its suppliers, energy shortages, acts of government, nature or the public enemy, civil or labor unrest, fires, floods, or explosions.

CANCELLATIONS AND RESCHEDULES. Suspension or cancellation of orders or delays in delivery may be made only upon our written approval and on terms that will indemnify us against all loss. Reschedules may not be made unless written notification is received at the manufacturing location greater than 90 days prior to the latest acknowledged shipping date, and then only upon terms which will indemnify Rexnord against loss.

PATENTS: Rexnord will defend and hold Purchaser harmless against claims of infringement of apparatus claims of United States patents issued at the time of sale to Purchaser; provided such claims are based exclusively on infringement by Products designed and manufactured by Rexnord and not based on the use of the products with other non-Rexnord products. Rexnord must be notified in writing and tendered the right to defend, obtain a license for Purchaser or substitute an equivalent non-infringing Product. Under no circumstances will Rexnord’s total liability to Purchaser for damages hereunder exceed the cost of the Product.

PRODUCT SAFETY: Products designed and manufactured by Rexnord are capable of being used in a safe manner; but Rexnord cannot warrant their safety under all circumstances. PURCHASER MUST INSTALL AND USE THE PRODUCTS IN A SAFE AND LAWFUL MANNER IN COMPLIANCE WITH APPLICABLE HEALTH AND SAFETY REGULATIONS AND LAWS AND GENERAL STANDARDS OF REASONABLE CARE; AND IF PURCHASER FAILS TO DO SO, PURCHASER SHALL INDEMNIFY REXNORD FROM ANY LOSS, COST OR EXPENSE RESULTING DIRECTLY OR INDIRECTLY FROM SUCH FAILURE.

SAFETY DEVICES: Products are provided with only those safety devices identified herein. IT IS PURCHASER’S RESPONSIBILITY TO FURNISH APPROPRIATE GUARDS in compliance with MSHA or OSHA, and other applicable standards or laws. PURCHASER WILL INDEMNIFY REXNORD FROM ANY CLAIM, ACTION OR CAUSE OF ACTION AND ANY COSTS, INCLUDING WITHOUT LIMITATION, ATTORNEY’S FEES RESULTING DIRECTLY OR INDIRECTLY FROM ANY FAILURE BY PURCHASER TO COMPLY WITH THIS PARAGRAPH.

PACKING AND SHIPPING: We will decide how to pack and to ship unless specific written instructions are given by Purchaser and accepted by Rexnord in writing.

QUANTITY VARIATIONS: Made to order sizes and special material including cut lengths of chain are subject to overruns or underruns of up to ten percent (10%) of the total order. Such overruns and underruns will be shipped and invoiced on a pro rata basis in satisfaction of the order. The foregoing is not applicable to standard stock merchandise.

DESIGNS, DIMENSIONS, AND WEIGHTS: Because of normal Product changes, the designs, dimensions, materials, components, and weights shown in our catalogs, while sufficiently accurate for most purposes, are subject to variation. If purchaser requires extreme accuracy, Purchaser should request additional information or certification. Rexnord will provide such additional information or certification after receipt of order, as Rexnord deems appropriate.

MANUFACTURING DEVICES AND TECHNICAL INFORMATION: Unless otherwise explicitly agreed to by Rexnord in writing, all manufacturing devices, design, data or other technical information relating to an order shall remain Rexnord’s property.

LEGAL CONSTRUCTION: The laws of the State of Wisconsin shall apply to this contract, with the exception of Conflict of Laws provisions. The failure of Rexnord to insist upon strict performance of any of the terms and conditions stated herein shall not be considered a continuing waiver of any such term or condition or any of Rexnord’s rights. The headings in this agreement are informational and do not modify the agreement. The parties specifically exclude the application of the U.N. Convention on the International Sale of Goods.

WARRANTY: IT IS EXPRESSLY AGREED THAT THE FOLLOWING WARRANTY IS GIVEN IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THOSE OF MERCHATABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND OF ANY OTHER OBLIGATION OR LIABILITY ON OUR PART OF ANY KIND OR NATURE WHATSOEVER.

No representative of Rexnord has any authority to waive, alter, vary or add to the terms hereof of without prior approval in writing, signed by an officer of our company. It is expressly agreed that the entire warranty given to the Purchaser is embodied in this writing.

We warrant to our Purchasers that all Products manufactured by us will be free from defects in material and workmanship at the time of shipment to our customers for a period of one (1) year from the date of shipment. All warranty claims must be submitted in writing to Rexnord within the warranty period, or shall be deemed waived. As to Products or parts thereof that are found to be defective, the sole and exclusive remedy shall be repair or replacement of the defective Products or parts or repayment of the proportionate purchase price for such Products or parts, at out option. Replacement Products or parts shall be shipped free of charge F.O.B. our factory. Identifiable items manufactured by others but installed in or affixed to our Products are not warranted by us but bear only those warranties, express or implied, given by the manufacturer of that item, if any.

Although application engineers are available for many Products, responsibility for system design including Product selection, to insure proper use and application of Rexnord Products within their published specifications and ratings rests solely with customer. This includes without implied limitation analysis of loads created by torsional vibrations within the entire system regardless of how induced. Purchasers care in selection, adequate testing at time of installation and proper installation, proper operation and maintenance of all Products are required for adequate performance.

LIMITATION OF LIABILITY IN GENERAL

IT IS EXPRESSLY AGREED THAT REXNORD’S LIABILITY FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THIS TRANSACTION OR THE USE OF ITS PRODUCTS, WHETHER IN CONTRACT OR TORT, IS LIMITED TO THE REPAIR OR REPLACEMENT OF THE PRODUCTS, OR THE PARTS THEREOF BY US, OR TO A REFUND OF THE PROPORTIONATE PURCHASE PRICE. UNDER NO CIRCUMSTANCES WILL REXNORD, ITS OFFICERS, DIRECTORS, EMPLOYEES OR ASSIGNS BE LIABLE FOR ANY OTHER INJURY, LOSS, DAMAGE OR EXPENSE, WHETHER DIRECT OR CONSEQUENTIAL, INCLUDING BUT NOT LIMITED TO LOSS OF USE, INCOME, PROFIT, PRODUCTION OR INCREASED COST OF OPERATION OR SPOILAGE OF OR DAMAGE TO MATERIAL.

COMPLIANCE WITH LAW: Buyer agrees to comply with the export laws of the United States with regard to the exportation of the products and any technical data associated therewith.

EXPORT TERMS OF PAYMENT: Terms of payment will be arranged subject to approval of our Credit Department.

DOMESTIC TERMS OF PAYMENT: Terms of payment, unless agreed upon, are thirty (30) days net from date of invoice. Rexnord reserves the right to charge interest at the rate of 1.5% per month or the highest rate allowed by law, whichever is lower, for all amounts more than thirty (30) days past due. Costs of collection (including reasonable attorney's fees) will be the responsibility of the debtor.

The following terms apply to our Industrial Distributor Customers

MINIMUM ORDER: None.

FREIGHT ALLOWANCE-DOMESTIC: Rexnord will assume and prepay transportation charges within the continental United States and to any United States Port of Exit for Alaska and Hawaii as follows: 1.Order must be a distributor order of 1000# minimum. 2. It must be a single shipment to a single distributor stocking location; however, if the Company chooses to ship from multiple locations, the shipment will be treated as a single one for purposes of the freight allowance; and 3.The method, carrier and routing of shipments must be Rexnord’s selection. The products eligible for this program are Planetgear Stocker Plan orders, and warehouse or factory products as follows: Rex® Conveying Equipment Products, Rex® and Link-Belt® Engineered Chain Products, and Link-Belt® Drive Products, Rex® and Link-Belt® Roller Chain Products (excluding sprockets), Rex® and Link-Belt® Industrial Bearing Products, Link-Belt® Cylindrical Bearing Products, Rex® Coupling Products, Rex® Elastomer Products, Rex® Idler Products, and Rex® Table Top Products; except factory orders for S-3, Large Gear, and Planetgear items. All shipments to distributor customers will be no freight allowed; except, 1000# or more shipments (in a single shipment to a single location) of eligible products to customers within a distributors PAR will be freight allowed provided that Rexnord selects the method, carrier and route of shipment. We reserve the right to add current freight surcharges from Rexnord carriers and unanticipated freight rate increases to the invoice. On distributor orders of less than the prescribed minimums from Rexnord factories and Regional Distribution Centers, no transportation charges will be absorbed by us. In cases where a distributor specified routing of any shipment is more costly than the routing selected by us, the excess charges will be added to the net amount of the invoice. Parcel shipments will be insured unless we are instructed otherwise. Such insurance and postage will be charged on the invoice. Small packages within the parcel limit are not usually shipped by freight because of the danger of loss or delay.

FREIGHT ALLOWANCE-EXPORT: Rexnord will assume and prepay transportation charges on shipments over 1000# from each shipping point. Shipment will be F.O.B. Rexnord shipping point to any continental U.S. Port of Exportation. Any charges that may accrue for storage at the Port, or for special and extra handling, or other charges for reason of freight congestion, failure of vessels to depart at scheduled time, lack of available vessels, or for other reasons, will be for the account of Purchaser. On Purchaser requested shipments of less than 1000lbs. From Rexnord shipping points, shipment will be F.O.B. Rexnord Shipping Point and no transportation charges will be absorbed by us.

The following terms apply to our Industrial Consumer Customers

MINIMUM CHARGE: None for warehouse stocked items. $100.00 minimum for factory orders.

FREIGHT ALLOWANCE-DOMESTIC: F.O.B. Rexnord shipping points with No Freight Allowed. All orders will be shipped collect unless specifically requested to prepay and add the freight charges to the invoice. Parcel shipments will be insured unless we are instructed otherwise. Such insurance and postage will be charged on the invoice. Small packages within the parcel limit are not usually shipped by freight because of the danger of loss or delay.

FREIGHT ALLOWANCE-EXPORT: Rexnord will assume and prepay transportation charges on shipments over 1000# from each shipping point. Shipment will be F.O.B. Rexnord shipping point to any continental U.S. Port of Exportation.
